Associate – Corporate & Transaction Advisory

Eligibility Criteria

Candidates must:

• Be a Company Secretary (CS) with an LL.B. degree.
• Have 1–2 years of relevant post-qualification experience in Corporate Law, Mergers & Acquisitions (M&A), or Transaction Advisory.
• Possess strong drafting and legal research skills.
• Have excellent communication, analytical, and organizational abilities.
• Be capable of independently managing assignments with professionalism and accuracy.

Roles and Responsibilities

The selected candidate will be responsible for:

• Drafting, reviewing, and negotiating transaction documents, including:
  • Share Purchase Agreements (SPA)
  • Shareholders' Agreements (SHA)
  • Share Subscription Agreements (SSA)
  • Business Transfer Agreements (BTA)
  • Joint Venture Agreements (JVA)
  • Non-Disclosure Agreements (NDAs)
  • Term Sheets
  • Other commercial contracts
• Assisting in Mergers & Acquisitions, Private Equity transactions, Corporate Restructuring, Due Diligence, and Investment Transactions.
• Advising clients on corporate and commercial law matters.
• Handling regulatory and corporate secretarial compliances under the Companies Act, 2013 and allied laws.
• Coordinating with clients, advisors, regulators, and other stakeholders throughout the lifecycle of transactions.

Location

Delhi NCR

Preference will be given to candidates residing in Delhi NCR.
